This Agreement explains the free allowance, the one-time licence for one PC, local processing, online licence verification, refunds, support and the rights that apply when you install or use EYRO.
About this Agreement
This End User Licence Agreement (the Agreement) is between CAWOSH LTD, a company incorporated in England and Wales with company number 15522294 and registered office at 86-90 Paul Street, London, England, EC2A 4NE (CAWOSH, we, us or our), and the individual or organisation that installs, accesses or uses EYRO (you or your). EYRO includes the desktop application, bundled and optional local models and runtimes supplied by us, updates supplied by us, and accompanying documentation (together, the Software).
If you acquire EYRO through Paddle, Paddle is the authorised reseller or merchant of record for the transaction and payment relationship, while CAWOSH licenses the Software to you under this Agreement. Paddle's buyer terms and refund policy also apply to the transaction.
Please read this Agreement before accepting it in the installation or activation process. By expressly accepting it, you agree to its terms. If you do not agree, do not install or activate EYRO; your applicable cancellation and refund rights remain available. If you accept on behalf of an organisation, you confirm that you have authority to bind it. Acceptance of this Agreement is not consent to marketing or an instruction to upload your content.
Definitions
Business Customer means a person or organisation acquiring or using the Software wholly or mainly for trade, business, craft or professional purposes.
Consumer means an individual acquiring or using the Software wholly or mainly outside their trade, business, craft or profession.
Device means one physical or virtual Windows computer identified by EYRO's pseudonymous device code. Each separate physical computer or virtual machine on which paid EYRO features are used requires its own Paid Licence, subject to the authorised replacement process. Remote access to the licensed computer does not by itself create another licensed installation.
Free Tier means EYRO use without a paid product key, currently limited to 2,500 transcribed words in each successive seven-day allowance period shown in the application.
Major Version means the purchased generation of EYRO identified by the first whole number in the Software version (for example, EYRO 3.x). A release identified by a different first whole number is a new Major Version unless CAWOSH expressly states otherwise.
Minor Update means a maintenance, security, compatibility, performance or incremental feature release within the purchased Major Version.
Paid Licence means the one-time, single-Device licence activated using a valid EYRO product key for the purchased Major Version.
User Content means audio, dictated words, transcripts, notes, dictionary entries, selected writing, preferences and other content you process or store using the Software.
Eligibility and accounts
You must be legally capable of entering this Agreement. A person purchasing a licence directly must be at least 18 or, if higher, the age of legal majority where they live. An organisation must authorise use on its licensed Device. EYRO does not require a CAWOSH account for ordinary local use. Paddle has separate checkout requirements.
The Free Tier
The Free Tier has no fixed trial-end date and currently permits 2,500 transcribed words in each seven-day allowance period. Unused words do not carry forward. EYRO shows the next reset time. We may change this free allowance for genuine legal, security, abuse-prevention or operating-cost reasons, with reasonable advance notice where practicable. A change to the Free Tier does not remove a valid Paid Licence or rights that cannot lawfully be excluded.
The allowance counts word-like sequences of letters or numbers in the completed transcript. Internal apostrophes, hyphens and underscores can join a sequence into one word; punctuation alone does not count. It is not a simple count of spaces. Completed transcribed words count even if you later edit or delete them, and recognition errors can still count. A recording that produces no countable words does not reduce the allowance. EYRO shows the remaining allowance and its next reset time.
CAWOSH grants you a non-exclusive licence to install and use the Free Tier for personal or internal business purposes, subject to this Agreement. No payment card or product key is required for free use, and it does not automatically become a paid purchase. The public trial is this Free Tier, not a time-limited paid subscription. Paid Licence terms apply only if you separately purchase a licence. Each installation has its own local allowance.
Public trial download and signature status
The initial public EYRO 3.10.1 trial installer is not Authenticode-signed. Windows or your browser may display an unknown-publisher or reputation warning, and some managed computers may prevent installation. CAWOSH does not represent this build as Microsoft-certified or as having a verified Windows publisher. You may decline to install and wait for a signed release. Download only through the official EYRO website or the CAWOSH GitHub release linked there. A published SHA-256 checksum helps check file integrity; it is not a code-signing certificate or a guarantee of safety.
The official website requests an email address and separate acceptance of its download-access terms before showing the download button. It sends no free-download email and does not create an EYRO account. Optional email marketing is a separate choice. Declining or withdrawing marketing permission does not reduce the free allowance or prevent download. The Privacy Notice explains the record of the request.
Free Tier limits are measured locally on your Device. Attempts to bypass, reset or falsify usage controls are prohibited.
Paid Licence and one-time price
Subject to receipt of the applicable one-time price and continued compliance with this Agreement, CAWOSH grants you a personal or internal-business, non-exclusive, non-transferable except as expressly permitted below, non-sublicensable and perpetual licence to install and use the purchased EYRO Major Version on one Device at a time.
The price, currency, applicable taxes and any discount are the amounts disclosed by Paddle at checkout before you place the order. The Paid Licence is a one-time purchase with no recurring subscription charge. No ownership in the Software or its intellectual property transfers to you.
A perpetual licence means the contractual right to use the purchased Major Version has no scheduled time expiry, subject to this Agreement. It does not mean unlimited offline operation: paid access requires periodic online verification as explained below. Minor Updates that CAWOSH makes generally available for that Major Version are included without an additional licence fee. We do not promise indefinite development or compatibility with every future operating system, driver or device. Future Major Versions and separately identified add-ons may require a further purchase. This does not remove updates or remedies that applicable law requires us to provide.
Activation verification and one Device binding
An internet connection is required to activate a paid product key. Activation sends the key and a pseudonymous device code to CAWOSH's licence service and binds the licence to that Device. The service supplies a signed, time-limited certificate. EYRO is currently configured to attempt a routine refresh approximately every 24 hours while running and connected; activation, restart, cancellation or other status checks can also contact the service.
Each successfully issued certificate currently permits paid use for up to seven days from its issue, not seven days from when the computer goes offline. A temporary connection failure does not by itself invalidate an unexpired certificate. If EYRO cannot obtain a valid replacement before expiry, paid access may stop and the application returns to the Free Tier until verification succeeds. Contact info@cawosh.com if a paid licence cannot be verified.
There is no automatic switch to a non-expiring certificate after day 14. Online verification remains part of paid use. A remote cancellation or revocation is reflected when the Device next successfully checks the licence, or at the latest when its existing certificate expires. It is not guaranteed to reach an offline computer immediately. These requests do not contain audio, transcripts, notes, dictionary entries or selected writing.
One product key permits use on one Device at a time. Do not share or publish it. A Consumer licence is personal to that Consumer. A Business Customer may allow its authorised personnel to operate EYRO on the licensed Device for its internal purposes, and remains responsible for their compliance. To replace a lost, damaged or retired computer, contact info@cawosh.com with proof of purchase. CAWOSH will assist legitimate replacement requests subject to proportionate security and anti-abuse checks. Stop paid use on the old Device before using the replacement. This support-managed process does not permit concurrent use.
Paid access may end following a valid cancellation, refund, payment reversal, fraud, key compromise or material breach, subject to the Suspension and termination section and mandatory rights. The server can reject further activations immediately, but an offline certificate may remain usable until the next successful check or its expiry. You must stop paid use when the licence has validly ended, even if an existing certificate has not yet expired. Cancellation does not itself delete local notes, transcripts, settings or dictionary entries.
Permitted use
The one-Device paid restriction below applies to each Paid Licence. Free use is licensed under The Free Tier section.
You may:
install and use EYRO on one Device at a time for personal use or your own internal business activities;
for a Business Customer, allow authorised personnel to operate EYRO on the licensed Device for the Business Customer's internal purposes, provided the Business Customer remains responsible for compliance;
make a reasonable backup copy of the installer or configuration solely for recovery; and
transfer the active Device binding through the authorised process, without keeping simultaneous active copies.
Restrictions
Except where applicable law expressly permits and does not allow contractual restriction, you must not:
copy, distribute, publish, rent, lease, lend, sell, sublicense or commercially host the Software or a product key;
activate or use one product key on multiple Devices at the same time;
reverse engineer, decompile, disassemble, derive source code from, modify or create derivative works from proprietary parts of the Software;
remove or alter copyright, trade mark, attribution or third-party licence notices;
circumvent or interfere with licence, security, usage-limit, integrity or update mechanisms;
use the Software to infringe rights, violate law, facilitate abuse or process content you are not entitled to process; or
represent that EYRO's output has been reviewed, verified or endorsed by CAWOSH.
These restrictions apply only to the extent lawful. They do not restrict non-excludable interoperability or other statutory rights, or permissions granted by the applicable open-source or third-party licence. Request information from CAWOSH first only where the law requires that step.
Local processing and your content
EYRO's included Efficient speech option uses the Moonshine Medium Streaming English INT8 model, Moonshine Voice and ONNX Runtime to process microphone audio locally on the Device's CPU while you speak. The Recommended and Maximum speech options, and the bundled recovery path, use local Whisper-based processing. Ordinary dictation, local grammar and advanced writing review, dictionary functions, Notebook and local context organisation also process content on your computer. CAWOSH does not receive that content through these local features. EYRO retains a complete local recording until the dictation attempt completes so that it can recover from a streaming failure; the recording is then intended to be discarded. Provisional streaming text remains inside EYRO and is not inserted into another application before final completion. Depending on the processing or recovery path, temporary audio files may be used; interruption or a system crash may leave local files requiring cleanup. Saved history and notes remain on your computer until removed. The separate opt-in AI Context vault is encrypted locally; this is not a promise that every EYRO file, transcript store or export is encrypted.
You retain your rights in User Content. You are responsible for having a lawful basis and any required permission to record, dictate, transcribe, store or use it, including workplace, confidentiality, professional-secrecy, surveillance, employment and data-protection rules. You are also responsible for local security, access control and backups.
When you deliberately use a web-search, custom-website, ChatGPT or Claude destination, EYRO passes your text to the selected external app or website, which may submit it for online processing. That provider's terms and privacy notice apply. Text inserted into another application is subject to that application's handling, including its cloud services. AI Context export creates a local Markdown file; exporting does not itself upload that file to an AI provider, but you can choose to share it. Exported Markdown is readable text and can contain sensitive material. Optional model and runtime downloads disclose ordinary network request information to their download hosts, not your dictated content.
Licence service and purchase data
CAWOSH processes product keys for activation and delivery, stores product-key hashes for licence validation, and processes licence identifiers, status, device codes, timestamps, purchase references, delivery and refund status, audit records and security information. Purchase fulfilment can retrieve your email address from Paddle and send the licence key through our transactional email provider. Network providers also handle IP addresses and request metadata. This processing does not require your audio, transcripts, notes, dictionary entries, selected writing or local performance measurements.
Paddle processes checkout, payment, tax, fraud, invoice and refund information under its own terms and privacy notice. CAWOSH does not receive full payment-card details. Our Privacy Notice at https://www.eyro.co.uk/legal/privacy explains CAWOSH's purposes, lawful bases, recipients, retention, transfers and your rights. It is an information notice, not a request for blanket consent to personal-data processing.
Third party and open source components
EYRO includes or can download open-source software, speech and language models, acceleration runtimes and other third-party materials. The EYRO 3.10.1 release includes Moonshine Medium Streaming English, Moonshine Voice and ONNX Runtime for the Efficient speech option, together with Whisper-based speech components and other libraries described in the supplied third-party notices. Their separate licences and notices govern those components and are not narrowed by this Agreement. This Agreement governs CAWOSH's proprietary software and commercial product licence. The applicable third-party notices, source-code information and any required offers must accompany the relevant release or download.
Updates optional downloads and support
The EYRO 3.10.1 installer includes the Moonshine Medium Efficient model and a Whisper-based recovery model. Recommended and Maximum speech models and acceleration packs are optional verified downloads. The Moonshine native runtime requires a compatible Microsoft Visual C++ x64 Runtime on Windows; Setup provides an official installation or repair route if that prerequisite is unavailable. Optional downloads can be large and may require compatible hardware, drivers and storage; the application identifies the relevant download before you choose it. Integrity checks do not guarantee that a component is error-free. You can decline optional components, although the corresponding feature will not be available. Updates required by applicable law remain subject to that law.
Unless checkout or an order document expressly says otherwise, the one-time price does not include a future Major Version, separate paid add-on, cloud service, bespoke implementation, professional service or service-level agreement. CAWOSH does not guarantee that any particular number, type or frequency of Minor Updates will be produced.
Contact info@cawosh.com for activation, installation and product support. Support is provided on a reasonable-efforts basis. Unless a separate written support agreement says otherwise, no fixed response or resolution time or service-level agreement is promised. This does not remove our obligation to provide remedies within the time required by applicable law.
Licence service continuity
Paid access currently depends on a functioning licence service for activation and certificate renewal throughout use. An outage that lasts beyond the remaining certificate validity can interrupt paid access. We may maintain or migrate that service, taking reasonable care to avoid unnecessary interruption. The software does not currently include a guaranteed offline activation or service-retirement mechanism.
If CAWOSH plans permanently to discontinue the licence service for a purchased Major Version while valid Paid Licences remain in use, we will give at least 90 days' notice where reasonably practicable and use reasonable efforts to provide a proportionate continuity solution. Depending on the circumstances, this may be replacement verification, migration to a successor service, or an offline-enabling update compatible with product security. If no reasonable continuity solution is available, your mandatory rights and remedies remain unaffected. This commitment does not guarantee operation on every future device or operating system, or prevent emergency action required by law or security.
Accuracy and responsible use
Speech recognition, punctuation, dictionary corrections, grammar suggestions, writing review, context classification and voice-destination interpretation can be wrong, incomplete or misleading. Provisional Moonshine streaming text may change before final completion, and Moonshine and Whisper models can produce different results from the same recording. Selection of the Efficient model does not guarantee accuracy equal to another speech model. Performance and accuracy depend on the hardware, drivers, model, language, microphone and input. Review output and the destination before relying on, sending, publishing or acting on it. Context categories are suggestions, not verified facts. No particular transcription speed or error-free result is guaranteed.
EYRO is a productivity tool, not a medical device and not a substitute for legal, medical, financial, accounting, emergency, safety-critical or other professional judgment. Do not use unverified output where an error could cause death, injury, unlawful action, financial loss, professional breach or material harm. CAWOSH does not provide professional advice through the Software.
Intellectual property and feedback
CAWOSH and its licensors retain all intellectual property rights in the Software, branding, documentation, interfaces and proprietary components. EYRO and associated marks are or may be trade marks of CAWOSH or its licensors. No rights are granted except the limited licence expressly stated here.
If you voluntarily send product suggestions, you permit CAWOSH to use those suggestions to improve EYRO without paying a fee. This does not transfer ownership of your User Content, permit collection of local transcripts, or authorise publication of personal or confidential material. Personal information in feedback is handled under the Privacy Notice.
Suspension and termination
This Agreement begins when you accept it. A Paid Licence has no scheduled contractual expiry but remains subject to verification and valid termination under this Agreement. You may stop using and uninstall EYRO at any time; uninstalling alone does not submit a refund request.
CAWOSH may take proportionate steps to suspend verification or terminate a licence for material breach, a fraudulent or compromised key, a valid cancellation or refund, a payment reversal, or a genuine security threat. Where practicable and a breach can be remedied, we will give notice and a reasonable opportunity to remedy it. Temporary suspension during a payment dispute does not remove your right to challenge a charge in good faith. If you believe a licence decision is wrong, contact info@cawosh.com for human review and any remedy due.
On termination, you must stop using and delete proprietary copies of the Software, except that EYRO may remain available under the Free Tier where CAWOSH permits. Clauses concerning ownership, restrictions, confidentiality, disclaimers, liability, governing law and accrued rights survive termination. Termination does not erase local User Content.
Cancellation refunds and statutory rights
For a Paddle purchase, request cancellation or a refund through the available in-app cancellation route, info@cawosh.com, or Paddle buyer support at https://paddle.net. Include a transaction or licence identifier where available. Do not send your full product key in an ordinary support email. Paddle handles payment refunds; licence cancellation and return of the money are separate steps. A pending or failed refund request must not be described as a completed refund. Statutory refund deadlines continue to apply.
In addition to mandatory rights, CAWOSH offers a full refund for cancellation of an initial Paid Licence purchase requested within 14 calendar days after the completed purchase. A clear timely request through any route above is sufficient; an unavailable in-app button does not remove this guarantee. We will approve an eligible request and arrange the refund through Paddle. There is no duplicate refund, and evidenced fraud or a false purchase claim may be investigated without restricting mandatory rights. Cancellation ends the paid entitlement, not ownership of your local content.
Where immediate supply of downloadable digital content affects a Consumer's statutory withdrawal right, the required express consent, acknowledgement of loss of that right and durable contract confirmation must be obtained, and supply must actually begin. Merely accepting this EULA is not sufficient. Any valid loss of the statutory change-of-mind right does not remove an applicable separate commercial guarantee or mandatory remedies for defective or misdescribed content, price reduction, refund or damage to a device.
If a conflict exists between this Agreement and a non-waivable consumer right in the country where a Consumer lives, the mandatory right prevails.
Warranty position
For Consumers, the Software is supplied with all guarantees and remedies required by applicable consumer law, including requirements that digital content be of satisfactory quality, fit for a disclosed purpose and as described where those rules apply.
For Business Customers, and to the maximum extent permitted by law, the Software is supplied as available. CAWOSH excludes implied warranties, conditions and representations not expressly stated in this Agreement, including merchantability, fitness for a particular purpose, uninterrupted availability, compatibility with every environment and error-free operation. This exclusion does not apply where law does not permit it.
Liability to Consumers
CAWOSH is responsible for loss or damage that is a foreseeable result of its breach of this Agreement or failure to use reasonable care and skill. Loss is foreseeable if it was obvious that it would happen or both parties knew it might happen when the Agreement was made.
Business-loss exclusions must not remove rights you have as a Consumer. Your obligations to review output and keep appropriate backups do not excuse CAWOSH's breach or remove a statutory remedy for defective digital content or resulting device damage.
This Consumer section does not impose a blanket cap equal to the licence price on our liability. The price paid is not the maximum remedy in every case. Your applicable statutory rights and remedies remain available.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or remedy that cannot lawfully be excluded or limited, including applicable mandatory consumer and data-protection rights. This protection also applies to the Business Customer section below.
Liability to Business Customers
For Business Customers only, and subject to the non-excludable liabilities above and applicable reasonableness requirements, CAWOSH excludes indirect or consequential loss and loss of profit, revenue, anticipated savings, business opportunity or goodwill. This clause does not transfer responsibility for CAWOSH's own unlawful processing of personal data or override a separate written commitment.
Subject to liabilities that cannot lawfully be limited and to applicable reasonableness requirements, CAWOSH's aggregate liability to a Business Customer arising under or in connection with an affected Paid Licence is limited to the licence fee actually paid for that licence. This limit does not apply to Consumers.
Business customer indemnity
A Business Customer will indemnify CAWOSH against a third-party claim and the reasonable direct costs finally awarded or agreed in settlement, but only to the extent caused by the Business Customer's unlawful User Content, unauthorised recording, or deliberate material breach of the Restrictions section. The indemnity does not cover loss caused by CAWOSH. CAWOSH must give prompt notice, permit reasonable participation in the defence, take reasonable steps to mitigate loss, and must not agree a settlement imposing liability or an admission on the Business Customer without its reasonable consent.
Confidentiality
Each party must protect confidential information received from the other and use it only for this Agreement, except for information lawfully public, already known, independently developed or lawfully received from another source. Disclosure is permitted where required by law or to professional advisers under confidentiality obligations. CAWOSH does not receive local User Content through ordinary local features. If you choose an external destination or share an export, consider your own confidentiality obligations and the recipient's terms.
Export sanctions and legal compliance
You must comply with applicable export-control, sanctions and trade laws and must not use or transfer the Software where prohibited. You are responsible for laws applicable to your recording, transcription, employment, confidentiality, professional and content-handling activities.
Changes to the Software or this Agreement
We may make reasonable changes for security, compatibility or legal compliance and clearly describe material changes. We will not use a general variation term to remove core rights already purchased. Where consent or a remedy is required by law, we will provide it. Future optional purchases may have different terms, disclosed before purchase. Keep the order confirmation and the version of the terms supplied with it.
Governing law and disputes
If you are a Business Customer, this Agreement and any non-contractual dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
If you are a Consumer, the law of England and Wales applies subject to the mandatory protections of the country where you habitually live. You may use any court or dispute-resolution right available under mandatory law. You are welcome to contact info@cawosh.com first, but doing so is not a condition of exercising those rights.
General terms
Entire agreement. For Business Customers, this Agreement, the order confirmation and any expressly incorporated document form the entire agreement about the Software and replace prior statements, without excluding liability for fraud. Consumers retain rights arising from statements that consumer law makes binding.
Assignment. Moving the authorised installation to a replacement Device is not a transfer of ownership of the licence to another person. Assignment to another person requires CAWOSH's consent unless applicable law gives you a right that cannot be restricted. If CAWOSH transfers this Agreement with the EYRO business, your contractual and mandatory rights must not be reduced.
Severability. If a term is unlawful or unenforceable, it is treated as modified to the minimum extent necessary or removed, and the remaining terms continue.
No waiver. Failure or delay in enforcing a right is not a waiver of that right.
No third-party rights. Except for licensors whose component terms expressly apply, no person other than the parties has a right to enforce this Agreement under the Contracts (Rights of Third Parties) Act 1999.
Language. The controlling language is English. A translation is provided for convenience unless mandatory local law says otherwise.
Notices. You may send notices to info@cawosh.com or to CAWOSH's registered office below, subject to any formal legal-service rules that apply. We may send notices through EYRO, the website or the purchase email address where appropriate and lawful. A notice that legally requires a durable form will be supplied in that form.
